VMECH S.r.l. Unitary Procedure no. 1 / 2025 sub 1 INVITATION TO THE FORMULATION OF EXPRESSIONS OF INTEREST IN THE PURCHASE OF THE BUSINESS COMPLEX OF VMECH SRL OR IN THE LEASE AIMED AT THE SUBSEQUENT PURCHASE (C.D.
"BRIDGE RENTAL") It is hereby announced that the business complex of Vmech Srl consists of the following assets and legal relationships, such as
resulting on the effective date of the transfer of the business complex:
i. Industrial real estate complex and appurtenant land located in Vignola (MO), via Trinità n. 1;
ii. Machinery, plant and equipment owned or leased
iii. Inventories of finished products, semi-finished products and raw materials,
iv. Commercial contracts with customers and suppliers;
v. Employment contracts;
vi. Collaboration Agreements.
All debts and credits accrued before are excluded from the company perimeter and will remain with Vmech
of the effectiveness of the transfer of the business complex. The expression of interest must necessarily contain:
1) the indication of the personal details of the bidder, legal person: the name, the registered office
tax code, VAT number, personal details of the legal representative, email address
certified electronic data, the telephone number, updated Chamber of Commerce certificate, copy of the document of
identity of the person who signed the expression of interest on behalf of the company
and, if it is a person other than the legal representative, a copy of the deed from which the relevant
Powers. Finally, if the company is not Italian, any duly legalized translation of the
chamber of commerce certificate;
2) the indication of the insolvency procedure "VMECH SRL – PU 1/2025 – COURT OF MODENA";
3) an indication of whether the expression of interest concerns the purchase of the business complex or
the rental aimed at the subsequent purchase (so-called bridge rental);
4) for the hypothesis of purchase: the indication of the price that would be offered, which cannot be
in any case be less than Euro 10,000,000.00 (ten million/00 Euro), in addition to legal charges, as well as
transfer costs and fees to be paid by the successful bidder 5) for the hypothesis of rent: the indication of the monthly rent that would be offered, the indication of the
duration, which must necessarily be compatible with the pending insolvency proceedings and not
in any case, the guarantees that are intended to be provided for the purposes of the rental may be longer than 12 months,
the commitment to formulate a subsequent irrevocable purchase proposal at the end of the lease
with an indication of the price that would be offered, which in any case cannot be lower
to Euro 10,000,000.00 (ten million/00 Euros), in addition to legal charges, as well as expenses and taxes of
Transfer to be paid by the consultant *
How to submit the expression of interest
The expression of interest must be received no later than 12.00 noon on 30 April 2025
by filing with the Registry of Insolvency Procedures of the Court of Modena, in Modena Corso
Canalgrande n.77, in a sealed envelope bearing on the outside only the words "Expression of interest VMECH
SRL – PU 1/2025 – COURT OF MODENA". Further documentation useful for the formulation of the expression of interest may be made available
available to interested third parties by the Judicial Commissioner upon timely request via PEC
